Please review these Terms of Use carefully. They govern access to and use of the Authority Found website, products and services provided by L&D Legacy LLC, doing business as Authority Found.

These Terms of Use (“Terms”) govern your access to and use of the Authority Found website, products, services, software-enabled systems, and related offerings provided by L&D Legacy LLC, doing business as Authority Found (“Authority Found,” “we,” “us,” or “our”).

By accessing our website, submitting information to us, creating an account, purchasing or using our services, or otherwise interacting with Authority Found, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use our website or services.

1. Authority Found Services

Authority Found provides digital systems, implementation services, technology-enabled tools, and related business services designed to help professionals and service-based businesses improve how they are found, chosen, and connected with prospective and existing clients.

Depending on the product or service selected, Authority Found services may include website and digital presence solutions, lead-capture systems, customer relationship management tools, review and referral systems, automated follow-up, artificial intelligence tools, voice and messaging systems, property- or business-specific assistants, workflows, integrations, and related services.

Specific features, deliverables, pricing, usage allowances, and service terms may vary by plan, product, or agreement.

2. Eligibility and Business Use

Authority Found is intended primarily for businesses and professionals.

You represent that you have the legal authority to enter into these Terms personally or on behalf of the business or organization you represent.

You are responsible for ensuring that your use of Authority Found complies with laws, regulations, professional rules, licensing requirements, advertising requirements, and industry standards applicable to your business.

3. Account and Client Responsibilities

You are responsible for providing accurate, current, and complete information necessary for Authority Found to configure and provide your services.

You are responsible for reviewing information supplied to Authority Found and notifying us when information changes or becomes inaccurate.

You are also responsible for maintaining the confidentiality and security of login credentials and connected accounts under your control.

You agree not to provide Authority Found with content, data, instructions, or materials that you do not have the right or authority to use.

4. AI and Automated Services

Certain Authority Found services may incorporate artificial intelligence, automated communications, conversational systems, voice technology, or other automated tools.

These systems are intended to assist with business functions such as responding to inquiries, providing information, capturing leads, routing opportunities, facilitating follow-up, and supporting customer communications.

Artificial intelligence and automated systems can make mistakes, misunderstand requests, or produce incomplete or inaccurate responses. Authority Found does not guarantee that AI-generated or automated responses will always be accurate, complete, or appropriate for every situation.

Customers remain responsible for reviewing their business information, instructions, configurations, and use of AI-assisted systems and for informing Authority Found of material inaccuracies or necessary changes.

Authority Found does not provide legal, tax, financial, medical, or other regulated professional advice through its AI systems unless expressly stated otherwise.

5. Customer Content and Business Information

You retain ownership of content and business information you provide to Authority Found.

You grant Authority Found a limited right to access, process, configure, reproduce, transmit, and otherwise use that information as reasonably necessary to provide, maintain, support, and improve the services you request.

You represent that you have the necessary rights and permissions to provide such information to Authority Found and to authorize its use for these purposes.

6. Leads, Contacts and Client Data

Some Authority Found services allow customers to collect, store, process, or communicate with leads, prospects, clients, customers, or other contacts.

Customers are responsible for determining whether they have the necessary permission or lawful basis to collect, store, contact, or communicate with those individuals.

Authority Found may process such information on behalf of customers in order to provide the requested services.

Customers remain responsible for their own privacy notices, consent practices, communications, recordkeeping, and compliance obligations applicable to their business.

7. Calls, Text Messages and Electronic Communications

Authority Found services may support telephone calls, text messages, email, messaging platforms, artificial or prerecorded voice technologies, and other electronic communications.

Customers are responsible for using these services in accordance with applicable laws and obtaining any consent required for their communications.

Customers may not use Authority Found services to send unlawful spam, unsolicited communications prohibited by law, deceptive communications, or messages to individuals who have validly opted out where continued communication is prohibited.

Authority Found may impose reasonable technical or operational requirements designed to support communications compliance and platform requirements.

8. Third-Party Platforms and Integrations

Authority Found services may rely upon or integrate with third-party technology providers, communications carriers, artificial intelligence providers, social media platforms, payment processors, CRM systems, hosting providers, domain providers, analytics services, and other third-party services.

Availability and functionality of these services may depend on third parties outside Authority Found's control.

Authority Found does not guarantee uninterrupted availability of third-party services and is not responsible for changes, outages, restrictions, suspensions, pricing changes, API changes, policy changes, or discontinued functionality imposed by third-party providers.

Certain third-party services may also be subject to their own terms, policies, fees, or usage restrictions.

9. Fees, Subscriptions and Usage Charges

Certain Authority Found products and services may require setup fees, recurring subscription fees, activation fees, usage-based charges, or other fees.

Pricing and billing terms applicable to a particular service will be disclosed at or before purchase or included in the applicable order, proposal, checkout page, subscription agreement, or service description.

Usage-based services, including certain telephone, messaging, artificial intelligence, or communications services, may incur charges based on actual usage.

Customers are responsible for applicable fees incurred through their account or services.

10. Recurring Subscriptions

When you purchase a recurring subscription, you authorize Authority Found and its payment providers to charge the applicable subscription fees according to the billing frequency disclosed when you enroll.

Subscriptions may automatically renew until canceled in accordance with the cancellation terms presented with the applicable subscription or service agreement.

Authority Found may change subscription pricing upon reasonable advance notice as permitted by applicable law.

Any specific cancellation deadlines, minimum commitments, refunds, or other plan-specific terms presented when you purchase a service will also apply.

11. Setup, Implementation and Activation Services

Certain Authority Found services require initial setup, onboarding, configuration, integration, customization, or activation.

Setup or activation fees may be separate from recurring subscription charges.

Customers agree to provide information and access reasonably necessary for implementation. Delays caused by incomplete information, unavailable credentials, third-party approvals, customer inaction, or external platform requirements may delay implementation.

12. Intellectual Property

Authority Found and its licensors retain all rights in Authority Found's proprietary materials, systems, processes, workflows, templates, designs, documentation, branding, software configurations, training materials, prompts, methodologies, and other intellectual property, except for customer-owned content.

Purchasing or using an Authority Found service does not transfer ownership of Authority Found intellectual property.

Customers receive only the rights necessary to use the applicable service for their own authorized business purposes during the applicable service period.

Unless expressly authorized in writing, you may not copy, resell, sublicense, distribute, reverse engineer, reproduce, publish, or commercially exploit Authority Found proprietary materials or systems.

13. Acceptable Use

You may not use Authority Found services to:

Violate applicable law or regulation.
Infringe intellectual property, privacy, publicity, or other rights.
Send unlawful spam or prohibited unsolicited communications.
Impersonate another person or business deceptively.
Provide knowingly false or misleading information through an Authority Found system.
Introduce malware, malicious code, or other harmful technology.
Attempt unauthorized access to Authority Found systems or third-party systems.
Interfere with the security, operation, or availability of the services.
Use the services for fraudulent, abusive, deceptive, or unlawful purposes.

Authority Found may suspend or terminate access when reasonably necessary to address prohibited activity, security concerns, legal requirements, nonpayment, or material violations of these Terms.

14. No Guarantee of Business Results

Authority Found provides systems and services intended to support business visibility, reputation, lead engagement, communication, and follow-up.

However, business results depend on many factors outside our control.

Authority Found does not guarantee search-engine rankings, placement in AI-generated responses, lead volume, listings, sales, commissions, revenue, reviews, referrals, conversion rates, or any particular business outcome.

Examples, case studies, demonstrations, projections, or customer experiences are illustrative and do not guarantee that another customer will achieve the same results.

15. Service Availability

We work to maintain reliable services, but we do not guarantee that the website or services will operate without interruption, delay, error, or downtime.

Maintenance, software updates, third-party outages, telecommunications failures, internet conditions, platform restrictions, security incidents, or circumstances outside our reasonable control may affect availability.

16. Disclaimer of Warranties

To the extent permitted by law, Authority Found services are provided on an “as is” and “as available” basis.

Authority Found disclaims warranties not expressly provided in writing, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are permitted by applicable law.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Authority Found and L&D Legacy LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data arising from or related to use of the services.

To the extent permitted by law, Authority Found's aggregate liability arising from or relating to a particular paid service will not exceed the amount paid by the customer to Authority Found for that service during the six months immediately preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Authority Found, L&D Legacy LLC, and their owners, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the services, your content, your communications with your contacts, or your material violation of these Terms.

19. Suspension and Termination

Authority Found may suspend or terminate services for nonpayment, unlawful or abusive use, security concerns, material violations of these Terms, or when continued service would violate applicable law or third-party platform requirements.

Customers may cancel services according to the cancellation provisions applicable to their subscription or service agreement.

Termination does not eliminate payment obligations incurred before the effective termination date.

20. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute relating to these Terms or Authority Found services will be handled in accordance with applicable law and any additional dispute-resolution provisions contained in a specific service agreement between you and Authority Found.
